Nscale, a British neocloud operator, has secured $3.36 billion in convertible financing ahead of its planned US IPO later this year. The company announced the funding on Friday, with the capital structured as a note that will convert into equity shares once the public offering is completed. Hedge fund Third Point leads the new investment, providing $2.36 billion available immediately, while existing investor Nvidia will contribute an additional $1 billion in mid-November. Nscale filed its IPO paperwork last week and is expected to be valued at $35 billion on the New York Stock Exchange, according to the Financial Times. Since spinning out of Australian cryptocurrency mining firm Arkon Energy two years ago, the company has amassed over $103 billion in contracts while developing large data center campuses in Norway and West Virginia.

This financing highlights the immense capital requirements for building the physical infrastructure needed to support artificial intelligence workloads. The cash injection allows Nscale to expand its data center footprint without immediate pressure to generate revenue from the new facilities. The deal confirms that traditional cloud providers are facing significant competition from specialised neocloud operators focused on raw compute power.
